30-day Evaluation License Agreement

1. Acceptance and eligibility

This Evaluation License Agreement (“Agreement”) is between AethosHub Pvt Ltd (“AethosHub”) and the organization approved by AethosHub for an evaluation (“Evaluator”). The individual accepting represents that they have authority to bind Evaluator. The Agreement becomes effective when Evaluator accepts it through the evaluation request or delivery workflow, downloads or accesses evaluation materials after receiving these terms, or otherwise begins using the Evaluation Software (“Effective Date”). If Evaluator does not agree, it must not access or use the Evaluation Software.

AethosHub may decline or limit an evaluation, including duplicate evaluations, requests from direct competitors, sanctioned or prohibited parties, or requests that do not provide sufficient business and technical context. An executed written evaluation agreement or order form controls if it expressly replaces these online terms.

2. Evaluation license

Subject to this Agreement, AethosHub grants Evaluator a limited, revocable, non-exclusive, non-transferable, non-sublicensable license during the Evaluation Period to install one instance of the supplied evaluation edition in Evaluator-controlled infrastructure and allow its personnel and individual contractors to use it solely to assess whether to purchase a paid subscription for Evaluator's internal business.

The “Evaluation Period” is 30 consecutive calendar days beginning on the earlier of first activation or the start date AethosHub communicates with delivery. AethosHub may agree in writing to another period. The evaluation is non-production. It must not serve live business operations, act as a production security control, or be relied on for availability, compliance, incident response, or business continuity.

3. Restrictions

Except where applicable law does not permit the restriction, Evaluator must not:

• use the Evaluation Software for production, commercial service delivery, or any purpose other than internal assessment;
• copy it except for the permitted installation and one reasonable backup;
• sell, sublicense, rent, lease, distribute, host for another entity, or provide it as a service bureau or managed service;
• reverse engineer, decompile, disassemble, derive source code, modify, or circumvent license or time controls;
• remove proprietary notices or use non-public materials to develop, train, or improve a competing product;
• publish benchmark, penetration-test, or comparative results without AethosHub's prior written consent;
• allow access by a direct competitor for competitive analysis; or
• use it unlawfully, to infringe rights, or with data or systems Evaluator is not authorized to process.

4. Delivery, activation, and expiry

AethosHub may provide container images, a deployment bundle, registry credentials, Documentation, activation material, and time-limited technical controls. Evaluator must protect these as AethosHub Confidential Information, limit access to evaluation personnel, and not place them in public repositories or shared image registries. Evaluator is responsible for infrastructure, installation, configuration, provider accounts, provider charges, and all third-party services.

The Evaluation Software may stop operating when the Evaluation Period ends. A paid subscription is not created automatically. Continued use requires a signed paid Order under the Software Subscription and License Agreement. Evaluator should export any permitted configuration or records it needs before expiry; AethosHub has no obligation to recover data from Evaluator's environment.

5. Evaluator data and security

Evaluator controls the deployment and retains its rights in data it processes. Normal evaluation operation does not require model inputs, outputs, credentials, or audit records to be sent to AethosHub. Evaluator is solely responsible for its data, lawful processing, access controls, backups, network security, provider and MCP destinations, and the consequences of configuration decisions.

Evaluator should use synthetic or non-sensitive data and non-production credentials. The evaluation is not approved for regulated, highly sensitive, or production personal data unless AethosHub expressly agrees in writing and the parties put required data-protection terms in place. 6. Evaluation assistance and feedback

A no-charge evaluation includes Documentation but no guaranteed support, response time, maintenance, update, availability, or remediation commitment. AethosHub may provide reasonable assistance at its discretion. Assisted remote evaluation is available as a paid professional service; published pricing is credited toward an annual license when purchased within 60 days, subject to the applicable order.

Evaluator may provide feedback voluntarily. AethosHub may use feedback without restriction or payment, provided it does not publicly identify Evaluator or disclose Evaluator Confidential Information.

7. Ownership and Third-Party Components

AethosHub and its licensors own the Evaluation Software, Documentation, updates, delivery materials, and all related intellectual property. No right is granted except the express evaluation license. Components identified as third-party or open-source software are governed by their separate licenses, which control for those components and may grant Evaluator additional rights directly.

8. Confidentiality

Non-public software, Documentation, security or architecture information, credentials, product plans, commercial information, and other information marked or reasonably understood as confidential are “Confidential Information”. The recipient will use it only for the evaluation, protect it with reasonable care, and disclose it only to personnel and contractors who need to know and are bound by confidentiality obligations. Confidential Information excludes information documented as lawfully public, already known without restriction, received lawfully from another source without duty, or independently developed.

A compelled disclosure is permitted after advance notice where lawful and only to the required extent. Confidentiality obligations continue for five years; trade secrets and credentials remain protected while confidential under applicable law.

9. Evaluation disclaimer

THE EVALUATION SOFTWARE AND ALL ASSISTANCE ARE PROVIDED “AS IS”, “AS AVAILABLE”, AND WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AETHOSHUB DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. EVALUATION FEATURES MAY BE INCOMPLETE OR CHANGE, AND AETHOSHUB DOES NOT PROMISE THAT EVERY THREAT, SECRET, POLICY VIOLATION, OR FAILURE WILL BE DETECTED OR PREVENTED.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AETHOSHUB WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING FROM THE EVALUATION, EVEN IF ADVISED OF THE POSSIBILITY. AETHOSHUB'S AGGREGATE LIABILITY ARISING FROM THIS AGREEMENT WILL NOT EXCEED INR 10,000. THESE LIMITS DO NOT APPLY TO FRAUD, FRAUDULENT MISREPRESENTATION, WILFUL MISCONDUCT, OR LIABILITY THAT LAW DOES NOT PERMIT TO BE LIMITED.

11. Termination and effect

The evaluation license ends automatically at expiry. Either party may terminate earlier by written notice. AethosHub may terminate or disable access immediately for a security risk, prohibited use, material breach, legal requirement, or misuse of delivery credentials. On termination or expiry, Evaluator must stop using and delete the Evaluation Software, AethosHub credentials, and non-public materials, and certify deletion on request. Reasonable legal archives may be retained subject to continuing confidentiality. Restrictions, ownership, confidentiality, disclaimers, liability, and general terms survive.

12. General

Evaluator will comply with applicable export-control, sanctions, anti-bribery, data-protection, and AI-use laws and will not make the Evaluation Software available to a prohibited party or territory. The parties are independent contractors. This Agreement creates no partnership, agency, purchase commitment, or third-party beneficiary.

Evaluator may not assign this Agreement without AethosHub's written consent. AethosHub may assign it to an Affiliate or in connection with a merger, reorganization, or sale of substantially all relevant assets. This Agreement is governed by the laws of India without regard to conflict-of-law rules. Courts with competent jurisdiction at the location of AethosHub's registered office have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any competent court.

If a provision is unenforceable, it will be modified only as necessary and the remainder continues. A waiver must be written. This Agreement is the entire agreement for the no-charge evaluation unless a signed writing replaces it. Notices must be written; legal notices to AethosHub may be sent to legal@aethoshub.com. Electronic acceptance is effective.
